BIO

Carole Ayugi is a Partner at MMAN Advocates and Head of the Employment and Pensions Practice. With more than 24 years’ experience, she advises domestic and international clients on employment and pensions, corporate and commercial matters, governance, regulatory compliance, restructuring and dispute resolution.

Her employment practice covers workforce transformation, corporate reorganisations, redundancies, executive and senior employee matters, workplace investigations, remuneration and incentive structures, outsourcing, consultancy and employee-misclassification risk. She is frequently engaged on sensitive mandates requiring the development and implementation of legally defensible processes for boards, management and HR teams.

Carole also has extensive experience advising pension schemes, trustees, corporate sponsors and institutional clients on scheme structuring, trust deeds and rules, retirement-benefit design, contracting-out requirements, trustee duties, regulatory compliance and governance reform. Her wider commercial practice includes corporate restructuring, board and governance advisory, ESG, regulatory reviews, commercial arrangements and data-protection matters.

She is also an experienced mediator and neutral, handling commercial, employment, governance and multi-stakeholder disputes. She is accredited as a Court-Annexed Mediator and a WIPO Neutral and is listed as a practising mediator or neutral with international and regional institutions including the LCIA, ICC, DIFC and the Chartered Institute of Arbitrators. She is a member of the Chartered Institute of Arbitrators, Kenya Branch.

Carole is ranked Band 3 for Employment in Kenya in the Chambers Global Guide 2026, is recommended by The Legal 500, and is recognised as a Notable Practitioner for corporate work by IFLR1000.

She is an Advocate of the High Court of Kenya, a Certified Public Secretary and a Certified Governance Auditor. She is a member of the Law Society of Kenya and the Institute of Directors (Kenya), and serves as a Director and Trustee of Plan Vivo.
